Terms of Service
The short version
You are buying a licence to run our software on your own machine. It copies orders between platforms you already have. It is a tool, not a trading system: it gives no advice, makes no prediction and guarantees no result, and every trade it places is one you told it to place. Refunds are available for 7 days if a technical fault stops it installing or running, but not for trading losses. Your rights under the Australian Consumer Law are not affected by anything on this page. Australian law applies and the courts of Queensland, Australia hear any dispute.
1. Who this agreement is with
These terms are between Darren Scott trading as Trade Dispensary, ABN 96 413 735 776, of 131 Mount Warren Park Blvd, Mount Warren Park, QLD 4207, Australia ("we", "us", "Trade Dispensary"), and you, the person or entity that buys, installs or uses the software ("you").
They apply from the moment you buy a licence, install the software, or use this website, whichever happens first. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
If you do not accept these terms, do not install or use the software.
2. What Trade Dispensary is
Trade Dispensary is self-hosted software that reads trading signals or orders from a source you nominate and places corresponding orders on destination accounts you nominate. Supported sources and destinations are listed on the features page and change over time.
It runs entirely on your own computer or server. We do not operate it for you, we do not host it, and we do not hold your positions. There is no cloud service between your source and your destinations.
3. What it is not
Trade Dispensary is a tool, not a trading system. It does not give financial product advice, does not recommend any instrument, strategy, signal provider or broker, and does not predict or guarantee any outcome. Every order it places is the result of a configuration you chose and a signal you subscribed to. You are solely responsible for your trading decisions and for the money they risk.
We are not a financial services licensee and we do not provide a financial service. Nothing on this website, in the software, in its documentation or in any support correspondence is personal advice, general advice, or a recommendation to trade. It has been prepared without regard to your objectives, financial situation or needs.
Trading futures, forex, CFDs and cryptocurrency carries a substantial risk of loss and is not suitable for every investor. Past performance is not indicative of future results. You may lose more than you deposit on leveraged products. If you are unsure, seek advice from someone licensed to give it.
Test on a demo or simulated account before you connect a live or funded account. This is the single most effective thing you can do to find a misconfiguration before it costs you money, and we recommend it without exception, including after every update.
4. Your licence
On payment we grant you a non-exclusive, non-transferable, revocable licence to install and use one copy of the software for your own trading, on the number of machines shown on your licence.
The licence is perpetual. It does not expire and there is no recurring fee. "Perpetual" means the version you hold keeps working; it is not a promise that every future version, platform or integration will be included, and it is not a promise that a third-party platform will keep working with it.
You may not sell, rent, sublicense, share, publish or transfer your licence key, and you may not use one licence to operate accounts for other people as a service. A licence key that appears on more machines than it is entitled to may be suspended.
5. Activation and the licence server
The software activates against our licence server and re-checks periodically. Activation records your licence key, a hashed machine identifier, your operating system and your computer's hostname. It does not send your trades, your credentials or your account balances. This is described in full in our Privacy Policy.
If you change or rebuild a machine and run out of activation slots, contact support@tradedispensary.com and we will clear the stale slot. We do not charge for this.
The software needs to reach the licence server occasionally. It is designed to keep running through a short outage, but it is not designed to run indefinitely without ever checking in.
6. Your responsibilities
You are responsible for:
- configuring the software correctly, including symbol mappings, lot and contract sizing, and which accounts are connected to which source;
- verifying on a demo or simulated account that it behaves the way you expect before going live;
- the security of the machine it runs on, and of the credentials, API keys and tokens you enter into it;
- monitoring your accounts. The software is not a substitute for supervision and may stop for reasons outside its control, including a platform outage, a lost internet connection, a broker disconnection, an expired token or a machine that goes to sleep;
- complying with the rules of every broker, exchange and prop firm you connect, and with the laws that apply to you where you live.
If you use a signal provider, a Telegram channel or any third-party source, your relationship with them is yours alone. We do not vet them, endorse them or take responsibility for what they send.
7. Third-party platforms
The software works by driving platforms and APIs that other companies own and control, including but not limited to MetaTrader 5, NinjaTrader, TradingView, cTrader, Bybit, TopstepX and other prop firm platforms. We have no control over them.
Those companies may change, restrict, price, deprecate or withdraw their software or APIs at any time, with or without notice. When that happens a feature may stop working until we can adapt to it, and some changes cannot be adapted to at all. That is a normal risk of connecting independent systems and it is not a defect in our software.
You must hold your own valid accounts and licences for any third-party platform you connect, and comply with its terms. We are not a party to those agreements.
8. Prop firm accounts
Prop firms set their own rules about copy trading, about running the same strategy across multiple accounts, about news trading, drawdown, consistency and permitted software. Those rules are theirs, they differ between firms, and they change.
It is your responsibility to confirm that copying is permitted on your account before you connect it. We do not warrant that using this software is permitted by any particular firm, and we are not responsible for a failed evaluation, a breached account, a withheld payout or a terminated funded account.
9. Price, payment and taxes
The current price is shown on the purchase page and is charged in USD. Payments are processed by PayPal or Stripe; we do not receive or store your card number.
Prices may change at any time, but a change never affects an order already placed. Where a promotional price is advertised with an end date, that date is enforced automatically by the checkout rather than applied by hand.
Prices are stated exclusive of any tax, duty or bank charge that may apply where you are. Any such amount is yours to pay.
10. Refunds
We will refund your purchase within 7 days if a technical fault in our software prevents it from installing or from performing its basic function, and we cannot resolve it for you. Contact support@tradedispensary.com and give us a reasonable opportunity to fix it first, because in most cases we can.
Refunds are not available for:
- trading losses of any kind, however caused;
- a configuration mistake, a mis-mapped symbol or an incorrectly sized position;
- a third-party platform, broker or prop firm changing, restricting or withdrawing its API or its rules;
- a change of mind, or a decision not to use software that works;
- a prop firm evaluation that was failed or an account that was breached.
Outside that window all sales are final. Nothing in this clause limits clause 11.
11. Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures you are entitled to a replacement or refund, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where a term of these terms would do so, it does not apply to that extent.
To the extent the law permits us to limit our liability for breach of a non-excludable guarantee, we limit it to resupplying the software or paying the cost of having it resupplied.
12. Limitation of liability
Subject to clause 11, and to the maximum extent permitted by law:
- the software is provided on an "as is" basis and we exclude all warranties not expressly stated in these terms, including any implied warranty of merchantability, fitness for a particular purpose or uninterrupted operation;
- we are not liable for trading losses, lost profits, lost opportunity, lost payouts, failed evaluations, breached or terminated accounts, data loss, business interruption, or any indirect or consequential loss, arising from your use of the software or from your inability to use it;
- our total aggregate liability arising out of or in connection with these terms or the software is limited to the amount you actually paid us for your licence.
You accept that trading is speculative, that software and networks fail, and that you have chosen to place that risk with yourself rather than pay us to carry it. The price of the licence reflects that allocation.
13. Support and updates
Support is provided by email at support@tradedispensary.com. We aim to respond within one business day, Brisbane time, but we do not guarantee a response time, a resolution, or availability outside ordinary hours.
Updates are made available from time to time at no additional charge. We are not obliged to produce an update, to keep supporting any particular platform, or to maintain an older version once a newer one is released. We recommend re-testing on a demo account after every update.
14. Acceptable use
You must not:
- copy, decompile, disassemble or reverse engineer the software, except to the extent that the Copyright Act 1968 (Cth) expressly permits it and only for the purpose it permits;
- remove, obscure or defeat any licensing, activation or attribution mechanism, or distribute a tool or key that does;
- redistribute, resell, rebrand or host the software for others;
- use it to manipulate a market, to breach a broker, exchange or prop firm agreement, or for any unlawful purpose;
- attack, overload or attempt to gain unauthorised access to our website, our licence server or any of our systems.
15. Intellectual property
We own the software, this website, the documentation, the Trade Dispensary name and all associated intellectual property, or we licence it from its owner. You get the licence described in clause 4 and nothing more. All other rights are reserved.
Trademarks of third-party platforms are the property of their owners and are used only to describe compatibility.
16. Suspension and termination
We may suspend or terminate your licence if you materially breach these terms, in particular clause 4 or clause 14, or if a payment is reversed or charged back. Where the breach can be fixed, we will tell you what it is and give you a reasonable opportunity to fix it before we act.
You may stop using the software at any time. Termination does not entitle you to a refund except where clause 10 or clause 11 applies. Clauses 3, 11, 12, 15 and 22 survive termination.
17. Affiliate program
If you take part in our affiliate program, the Affiliate Agreement governs that relationship and prevails over these terms to the extent of any inconsistency in relation to it.
18. Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these terms. In short: your trades, credentials and account data stay on your machine, and we do not receive them.
19. Third-party content and links
This website links to and describes third-party services. We do not control them and are not responsible for their content, their availability or their conduct. Our blog and documentation are published for general information and are not advice.
20. Notices
We will send notices to the email address you used to purchase. You should send notices to support@tradedispensary.com. It is your responsibility to keep a working email address on file; a notice sent to the address you gave us is treated as received.
21. Changes to these terms
We may update these terms. The current version, with its version number and date, is always published at https://www.tradedispensary.com/terms. Changes are not retrospective: the version in force when you bought your licence governs that purchase, and a later version applies only to purchases and use after it is published.
If we make a change that materially reduces your rights, we will email licence holders rather than rely on the page alone.
22. Governing law and jurisdiction
These terms are governed by the laws of Queensland, Australia, and by the laws of the Commonwealth of Australia that apply there.
You and we submit to the exclusive jurisdiction of the courts of Queensland, Australia and the courts competent to hear appeals from them. If you are outside Australia, that still applies, and you accept it is not inconvenient for you to bring or defend a claim there.
Before starting proceedings, both of us agree to raise the issue in writing and attempt in good faith to resolve it. This does not prevent either of us seeking urgent injunctive relief.
23. General
Entire agreement. These terms, together with the Privacy Policy and any Affiliate Agreement, are the whole agreement between us about the software and replace anything said or written before.
Severability. If a provision is found to be unenforceable, it is severed and the rest continues to apply.
No waiver. If we do not enforce a right immediately, we do not lose it.
Assignment. You may not assign these terms. We may assign them to a purchaser of our business, on notice to you.
Force majeure. Neither of us is liable for a failure caused by something genuinely outside our reasonable control.
